1. Agreement to Terms
By creating an account or using VaultLister (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and VaultLister.
2. Description of Service
VaultLister is a multi-channel reselling platform that allows users to manage inventory, create and publish listings across third-party online marketplaces, automate repetitive reselling tasks, and access analytics and AI-assisted listing tools.
The Service includes:
- Inventory management and tracking
- Cross-listing tools for third-party marketplaces including Poshmark, eBay, Mercari, Depop, Grailed, Etsy, Shopify, Facebook Marketplace, and Whatnot
- Automation tools (closet sharing, offer management, follow-back bots)
- AI-powered listing generation via the Anthropic Claude API
- Sales analytics and reporting
- An image bank and photo editing tools
- A Chrome browser extension for marketplace workflows
3. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent that you meet this requirement and that all information you provide is accurate and complete.
4. User Accounts and Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Provide accurate and current registration information
- Notify us immediately of any unauthorized access to your account
- Use the Service only for lawful purposes and in compliance with applicable laws
- Not share your account with others or allow unauthorized access
- Not use the Service to engage in fraud, misrepresentation, or deceptive practices
- Not attempt to reverse-engineer, disassemble, or tamper with any part of the Service
- Not use the Service in any manner that could damage, disable, or impair its operation
5. Marketplace Integration Disclaimers
By using marketplace integration features, you acknowledge and agree that:
- Each marketplace platform has its own Terms of Service that you are independently responsible for complying with
- VaultLister is not responsible for any actions taken by marketplace platforms, including account suspensions, listing removals, or policy enforcement
- Automation features (bots, sharing tools) may violate certain marketplace terms; you use them at your own risk and sole discretion
- VaultLister does not guarantee that any listing, automation, or sync operation will succeed on any marketplace
- Marketplace APIs may change at any time; VaultLister does not guarantee uninterrupted compatibility
- You are solely responsible for the accuracy of your listings, pricing, and item descriptions
6. Acceptable Use
You agree not to use the Service to:
- List counterfeit, stolen, prohibited, or illegal items
- Engage in marketplace manipulation, shill bidding, or fake review schemes
- Scrape, harvest, or collect data from third-party sites in violation of their terms
- Send spam, phishing messages, or unauthorized communications
- Infringe on the intellectual property rights of others
- Upload malware, viruses, or malicious code
We reserve the right to suspend or terminate any account we determine, at our sole discretion, is in violation of these Terms.
7. Data Handling and Security
You retain ownership of all data you input into the Service, including inventory records, images, and marketplace credentials. By using the Service, you grant VaultLister a limited license to process and store your data solely to operate and improve the Service.

8. AI Features
AI-powered listing generation and the Vault Buddy chat assistant are provided using the Anthropic Claude API. AI-generated content is provided as a convenience and may not always be accurate, complete, or optimized for every use case. You are responsible for reviewing and editing any AI-generated content before publishing. VaultLister makes no warranty regarding the quality, accuracy, or fitness for purpose of any AI-generated output.
9. Intellectual Property
The VaultLister platform, including its software, design, branding, and documentation, is owned by VaultLister and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our express written permission.
You retain all rights to content you create and upload, including item photos, descriptions, and data. You represent that you have the rights to any content you upload and that it does not infringe on any third party's rights.
10. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service downtime or interruption.
11. Limitation of Liability
To the maximum extent permitted by applicable law, VaultLister and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from:
- Your use of or inability to use the Service
- Actions taken by third-party marketplace platforms against your account
- Errors or failures in automation, cross-listing, or sync operations
- Loss or corruption of your data
- Any AI-generated content produced by the Service
In no event shall our total liability to you for any claims arising from these Terms or your use of the Service exceed the greater of (a) the amount you paid for the Service in the twelve months prior to the claim, or (b) one hundred US dollars ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless VaultLister and its operators from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
13. Modifications to the Service and Terms
We reserve the right to modify or discontinue the Service at any time, with or without notice. We may update these Terms periodically. If we make material changes, we will notify you via the Service or by email. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
14. Termination
You may delete your account at any time from your account settings. We reserve the right to suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent or harmful activity, or if we determine termination is necessary to protect the Service or other users.
Upon termination, your right to use the Service ceases immediately. We may retain your data for a limited period as required by law or legitimate business needs, after which it will be deleted in accordance with our Privacy Policy.
15. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which VaultLister is operated, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or the Service shall first be attempted to be resolved informally by contacting us. If informal resolution fails, disputes shall be submitted to binding arbitration or the appropriate courts in the applicable jurisdiction.
16. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that any errors will be corrected.
